Tesla Shareholders Approve Historic $1 Trillion Pay Package for Elon Musk

Tesla shareholders have approved a groundbreaking compensation package for CEO Elon Musk that could be worth nearly $1 trillion over the next decade. The proposal, sanctioned by more than 75% of voting shareholders at Tesla’s annual meeting on November 6, 2025, ties Musk’s stock grants to aggressive targets, including increasing Tesla's market value from approximately $1.5 trillion to $8.5 trillion and delivering revolutionary products such as 20 million vehicles, one million humanoid robots, and a million robotaxis.

This extraordinary pay package involves granting Musk over 423 million additional shares, raising his ownership stake from about 13% to roughly 25%. The stock awards will vest incrementally if Tesla meets specified milestones—starting with a $2 trillion valuation and progressing in stages by $500 billion increments up to $6.5 trillion, with additional milestones requiring $1 trillion jumps to reach the full $8.5 trillion target.

Tesla’s board emphasized that the package is critical to retaining Musk, whose visionary leadership has been instrumental in Tesla’s transformation into one of the world’s most valuable companies. Robyn Denholm, Tesla’s chair, warned shareholders that rejecting this pay plan could risk Musk’s departure, potentially diminishing Tesla’s future value. The package reflects confidence not just in electric vehicles but in Tesla’s ambitions in robotics, autonomous driving, and artificial intelligence.

Despite the overwhelming support, some investors expressed concerns about the package’s unprecedented size and potential dilution of other shareholders’ interests. Norway’s sovereign wealth fund opposed the plan, citing governance and risk worries. Similarly, proxy advisory firms Glass Lewis and ISS recommended against it. Yet, supporters argue the incentives align Musk’s interests closely with long-term shareholder growth.

Musk, who does not take a base salary, hailed the approval during the meeting in Austin, Texas, celebrating alongside Tesla’s Optimus humanoid robots. This package could nearly double Musk’s net worth, cementing his position as the world’s wealthiest person and possibly the first trillionaire should the ambitious benchmarks be met.

Beyond its immediate financial impact, this compensation deal sets a notable precedent in executive pay structures, linking extraordinary rewards to visionary, long-term performance goals in quickly evolving technological fields. It also raises broader questions around corporate governance and the balance between incentivizing innovation and managing investor risk in leading global companies.
